Proprietary Software License Agreement

IMPORTANT: READ CAREFULLY BEFORE USING THIS SOFTWARE. THIS LICENSE AGREEMENT ("LICENSE") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY) AND SOLARSPEED.NET ("LICENSOR") FOR THE SOFTWARE ACCOMPANYING THIS AGREEMENT, INCLUDING ANY ASSOCIATED MEDIA, PRINTED MATERIALS, AND ONLINE OR ELECTRONIC DOCUMENTATION (COLLECTIVELY, THE "SOFTWARE"). BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, DO NOT INSTALL OR USE THE SOFTWARE.

1. LICENSE GRANT
Licensor grants you a limited, non-exclusive, non-transferable license to use the Software on a
single computer or device, as specified in the license key or activation process. This license does
not grant you any rights to modify, adapt, reverse engineer, decompile, or create derivative works
based on the Software.

2. RESTRICTIONS
You may not copy, reproduce, distribute, transmit, display, perform, publish, license, sublicense,
or otherwise transfer the Software or any portion thereof. You may not use the Software on more
systems than the number of licenses acquired.

3. OWNERSHIP
The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to
the Software, including all intellectual property rights. This license is not a sale of the
original Software or any copy thereof.

4. TERMINATION
This License is effective until terminated. Licensor may terminate this License if you breach any
term or condition. Upon termination, you must cease using the Software and destroy all copies.

5. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND
FITNESS FOR A PARTICULAR PURPOSE.

6. LIMITATION OF LIABILITY
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS LICENSE, EVEN
IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. GOVERNING LAW
This License is governed by the laws of the Republic of Colombia. Any disputes arising under
or in connection with this License shall be subject to the exclusive jurisdiction of the courts of
the Republic of Colombia.
